Creator Agreement

1. Authority to Contract

By submitting content to Wisdom Audio Bank, you confirm that you are legally authorised to enter into this agreement. If you act on behalf of an organisation, you confirm you have authority to bind that organisation.

2. Content Ownership

You retain ownership of all content you submit. You grant Wisdom Audio Bank a non-exclusive licence to distribute, stream, and sell your content through the platform in the territories you have authorised.

3. Distribution Licence

You grant Wisdom Audio Bank a worldwide, non-exclusive, royalty-bearing licence to host, stream, display, reproduce, and distribute your audiobook content through the platform, subject to territorial restrictions you configure.

4. Territories

You specify the territories in which your content may be distributed. You are responsible for ensuring you have rights for each territory you select. Wisdom Audio Bank will restrict distribution accordingly.

5. Commercial Terms

The commercial terms for your content, including royalty rates and pricing, are set out in the commercial agreement associated with your creator profile. You may propose prices, but final pricing is subject to platform approval.

6. Royalties

• •Royalties are calculated based on the commercial agreement applicable to each sale or qualified listen.
• •All monetary values are stored in integer minor units to ensure financial precision.
• •Royalty calculations are recorded in an immutable ledger for auditability.
• •Royalties may be adjusted for refunds, chargebacks, and disputes.
• •Statements are generated periodically and are available in your creator dashboard.

7. Membership Usage

If you opt your content into the membership programme, royalties for subscription listening are calculated based on the subscription pool share model or other agreed method. Membership royalty calculations are documented in your commercial agreement.

8. Promotions

Promotional campaigns may temporarily adjust pricing or access. Promotional royalties are calculated according to the terms of the specific promotion. You will be notified of promotions affecting your content.

9. Tax Responsibility

You are responsible for your own tax obligations. Wisdom Audio Bank may collect tax information for compliance purposes. Tax information is kept private and is not accessible to ordinary administrators.

10. Payouts

• •Payouts are processed when your available balance meets the minimum threshold.
• •A clearing period applies before earnings become available for payout.
• •Payouts may be held for copyright disputes, fraud review, or verification issues.
• •Changing payout account details is a high-risk action that may trigger a temporary hold.
• •All payouts are recorded in the immutable ledger.

11. Refund Adjustments

When a purchase is refunded, the corresponding royalty is reversed or adjusted. Refund reversals create compensating ledger entries and do not erase historical records.

12. Copyright Warranties

You warrant that you own, control, or have obtained all necessary rights and permissions to upload, distribute, stream, sell, and monetise your content through Wisdom Audio Bank in the territories selected. You indemnify Wisdom Audio Bank against claims arising from rights violations.

13. Third-Party Rights

You confirm that your content does not infringe the intellectual property rights, privacy rights, or other rights of any third party. This includes music, sound effects, and other elements incorporated into your audiobook.

14. Narration Rights

If your audiobook is narrated by a third party, you confirm you have obtained the necessary narrator agreements and performance rights. If synthetic or AI-generated voices are used, you confirm you have the right to use such voices.

15. Artwork Rights

You confirm that you have the rights to use all cover artwork and images associated with your audiobook. You are responsible for ensuring artwork does not infringe third-party rights.

16. Takedowns

Wisdom Audio Bank may remove or restrict content in response to valid copyright complaints, legal requirements, or platform policy violations. You may request takedown of your own content subject to existing contractual obligations.

17. Termination

Either party may terminate this agreement with notice. Upon termination, your content will be removed from public distribution. Outstanding royalties will be paid subject to the clearing period and any pending holds.

18. Post-Termination

After termination, existing customer entitlements to purchased content may continue subject to platform terms. Historical financial records are retained for legal compliance and audit purposes.

19. Indemnity

You agree to indemnify Wisdom Audio Bank against claims, damages, and expenses arising from your breach of this agreement, including rights violations and inaccurate representations.
